Africa Speakers Group [Africa Speakers Bureau Ltd.] as an independent agency representing the interests of different segments of talents including, but not limited to, SpeakersPerformersMaster of Ceremonies and Authors will, among other things, facilitate the connecting of expert knowledge to opportunities, negotiate fees and broker engagement deals, etc. It will earn commission on the fees paid to the talents under the platform.

So, Africa Speakers Bureau strive to identify and bring on to the AfricaSpeakersGroup.Com platform high impact speakers, star performers, authors, and top-class subject matter experts for all shades/types of private, corporate and government events, including but not limited to: policy dialogues, board meetings, strategy sessions, masterclasses, conference keynotes, workshops, retreats, political events, and lectures.

Target Audience

Africa Speakers Bureau’s target audience is conference/event organisers, corporate organisations, trade associations, high net-worth individuals, and government institutions.

How it Works

  1. Africa Speakers Bureau will represent the best group of talents chosen from across the world with a special focus on the African continent.
  2. Event organisers are invited to contact ASB through ask@africaspeakersgroup.com to find appropriate talent by completing and submitting our Expression of Interest form, identifying their preferred talent, budget size, and specific requirements. On receipt of the completed form, our team will identify designated speakers (or may suggest other suitable options.

TERMS AND CONDITIONS

    1. Definitions And Interpretations:

    In this agreement, unless inconsistent with the context or otherwise define; the following expressions have the following meanings:

    • The Client: any individual, organization, or government agency and/or department that may request to engage or that purchase the service(s) of any talent managed by Africa Speakers Bureau Ltd [Africa Speakers Group] or any talent listed on www.AfricaSpeakersGroup.Com.
    • ASB: implies any of the following Africa Speakers Bureau Ltd., Africa Speakers Group, ASG, or www.AfricaSpeakersGroup.Com – the company managing the talents.
    • The Talent: implies any person or entity that is represented by ASB, and is often in demand by the client for an appearance at an event or conference.

    The Client and the Talent, agree to the following terms and conditions:

    1. Representation:

    You agree to be represented by ASB in engaging a talent(s) for your event(s), to act in good faith, honestly, and in a professional and timely manner with the Talent.

    1. Delivery and Performance:

    Upon accepting a speaking engagement from ASB, the Talent agrees to meet the requirements of the Client as will be communicated clearly to the Talent in writing and to perform to the best of his/her ability at the Client’s event or conference.

        4. Privacy of Event:

    a)      The Talent agrees not to post the Client’s information on any public forum without express permission, through email and/or phone messages, by the Client. Otherwise, any unpermitted posting would be considered a violation of the Client’s privacy.

    b)      Once a client has engaged with ASB in search of talent, the Client agrees never to approach the Talent directly for any reasons connected to making an appearance, without having a signed Client Agreement with the ASB in place.

    1. Liaison:

    ASB agrees to liaise between the Client and the Talent to determine the initial availability, fit, and budget requirements, and get a Client Agreement in Place.

    1. Travel and Logistics:

    Once the Client Agreement is in place, the Client may liaise directly with the Talent to book and deal with payments other than the fee, such as for relevant travel and accommodation, as may be required.

    1. Speaking:

    Once the Client Agreement (Contract) is in place, the Talent may liaise with the Client to speak and provide any necessary presentation materials in the correct format.

    1. Notification:

    The Talent agrees to refer all booking enquiries (and or reservations) to ASB by email or phone messages if such is received for an event. Likewise, the Client will notify the ASB if, for any reason, it can no longer proceed with the Talent as per the agreement.

    1. Independent Contractors:

    The Client and ASB are both considered independent contractors and this agreement shall in no way be construed as one of employment between the Client and ASB.

    1. Service Fee:

    The Client will pay ASB the total appearance fee (not including travel and/or accommodation expense) plus applicable taxes, on receipt of the invoice. ASB will pay the Talent the amount less the service fee in line with section 11 below.

    1. Exclusivity:

    Based on the level of resources ASB commit to marketing, positioning, and developing exclusively managed Talents’ brands, ASB charge a lower service fee (20% of the Talent’s appearance fee) on the Talents it manages exclusively; whereas it charges 27.5% on the Talents it manages non-exclusively.

    1. Payment for Talent:

    Upon receipt of the invoice from the Talent after the event, ASB will pay the Talent within 7 working days into a bank account nominated by the Talent.

    1. Indemnification:

    The Client does hereby agree to indemnify, defend and hold harmless, ASB and its employees, agents, officials and related entities from and against any or all losses, liabilities, damages, and expenses(including reasonable attorney’s fees and expenses as incurred) which it or any of them may incur or be obligated to pay in any action, claim or proceeding against any of them, for or by reason of the Client’s acts, whether of omission or commission, arising out of, related to, or in connection with this agreement or any circumstance arising out of, related to or in connection with the Client’s performance under this agreement.

    1. Duration of Contract:

    This contract shall remain in effect indefinitely with effect from the date on which both parties have signed this contract (the Effective Date). It may be cancelled by either party notifying the other in writing or by email no less than 30 days before the event.

    1. No Promise of Income:

    ASB make no promise or representation, or warranty, implicit promise or otherwise of income, revenue, or sales or response from the Client to the Talent. The Talent understands that, whilst ASB will endeavour to get firm agreements in place with the Client, some opportunities may not eventuate.

    1. Cancellations:

    (a) Either party may cancel this Contract without obligation to the other if cancellation notice is received in written form at least 30 days before the appearance date.

    (b) The talent agrees to furnish payment to ASB for actual appearance preparation costs in the event of a late cancellation, late appearance, or non-appearance within 30 days after billing, subject to the limitations in Section 16 (c).

    (c) If due to illness, accident, natural disaster or other causes which are beyond the control of the parties and are not foreseeable by any of the parties, the Talent (or the Client) is forced to cancel the Contract, neither party nor any representative shall be liable for any payment.

    (d) Client failure to pay:

    the Client agrees to (and accepts) this agreement in advance of the appearance, with payment settled at least 30 days before the engagement. If the Client fails to pay or, for whatever reason, the conference or event is cancelled, this may be outside of the Bureau’s control, and the Talent will only get paid once ASB has received payment from the Client. Where an event is cancelled by the Client less than 30 days before an event by no fault of the Talent, an inconvenience allowance of not less than 30% shall be deducted from the paid appearance fee. This inconvenience allowance shall increase to 75% where cancellation occurs within 14 days of the event. Furthermore, where the cancellation happens in less than a week to the event, the Client shall forfeit the fee paid

       17. Email Confirmation:

    E-mails to ASB confirming that you agree to the set terms and conditions shall be considered the equivalent of signing and agreeing to this contract and shall be binding.

       18. Entire Agreement:

    These terms and conditions constitute the general agreement and understanding between the Client and ASB with respect to the subject matters herein, and guides any further agreements and understandings, whether or not written, between and among them with respect to such matters. The provisions of this agreement may be waived, altered, modified, amended, or repealed in whole or in part only upon the written consent of both the Client and ASB.

    1. No Implied Waivers:

    The failure of either party at any time to require performance by any other party of any provision hereof will not affect in any way the right to require such performance at any time thereafter, nor will the waiver by any party of a breach of any provision hereof be taken or held to be a waiver of any subsequent breach of the same provision or any other provision.

    1. Severability:

    If for any reason any provision of this agreement shall be determined to be invalid or inoperative, the validity and effect of the other provisions hereof shall not be affected thereby, provided that no such severability shall be effective if it causes a material detriment to either party.

    1. Miscellaneous:

    (a)  No speech shall be recorded, reproduced, or transmitted from the place of speech, in any manner or by any means whatsoever, unless there is a specific written amendment to this Contract, initialled by the Talent, relating to and permitting such recording, reproduction, or transmission.

    (b) The Talent is solely responsible for payment of royalty fees, and/or dramatic rights and dramatic musical works and/or performance fees, fees required by unions and similar organizations, and similar costs.  The Talent shall indemnify the ASB against any liability or damages, including attorney fees, which may arise as a result of a violation by the Talent of copyright laws.

    (c) Sale of any souvenir items or programs by the Talent shall only be permitted upon specific written amendment to this Contract with the event host 30 days before the date of engagement, and then subject to the terms listed.

    (d)   Anticipated starting times specified in the Contract, subject to minor modifications because of unanticipated occurrences, are of the essence, and hence, the Talent is required to be at the place of performance a sufficient time prior to the scheduled time of commencement to permit timely presentations.

    1. Governing Law:

    The governing law of this contract is that of the Federal Republic of Nigeria, and the parties agree to submit to the exclusive jurisdiction of the Nigerian legal system. AND all disputes arising out of or in connection with this agreement shall first be referred to mediation at Lagos Multi-door Court House within the Federal Republic of Nigeria. If mediation does not result in the resolution of the dispute within 30 days of the first mediation session, the dispute shall be referred to the relevant Superior Court(s) of Record within the Federal Republic of Nigeria
